Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between your organization ("Client", "you", or "your") and Orazent Technologies ("Orazent", "we", "us", or "our"), governing your access to our website and the provision of our digital engineering, software architecture, UI/UX design, and marketing services.

By accessing https://orazent.com, approving a Statement of Work (SOW), or remitting an initial project deposit, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Scope of Services & Deliverables

Orazent operates as a boutique digital engineering studio. Our services include, but are not limited to:

• UI/UX & Product Design: User research, information architecture, wireframing, high-fidelity clickable Figma prototypes, and design systems.
• Website & Web Platform Development: Semantic HTML5/CSS, Next.js, React, Node.js, and headless CMS integrations optimized for Core Web Vitals.
• Custom Enterprise Software: Proprietary internal workflows, CRM/ERP solutions, database schemas, and microservice APIs.
• Mobile App Engineering: iOS and Android applications built natively (Swift/Kotlin) or cross-platform (Flutter/React Native).
• Performance Marketing & SEO: Google Ads PPC, Meta paid social campaigns, server-side tracking (CAPI), and organic technical SEO.

Each engagement is governed by a detailed Scope of Work (SOW) or project brief defining deliverables, acceptance criteria, milestones, and timelines. Material modifications outside the agreed SOW require written agreement via a formal Change Order.

3. Intellectual Property & 100% Code Ownership

We believe in complete transparency and zero vendor lock-in. Our intellectual property policy provides:

• Full IP Transfer Upon Settlement: Upon receipt of full payment for agreed project milestones, all bespoke source code, UI/UX Figma assets, graphics, and documentation created specifically for the Client become 100% the intellectual property of the Client.
• Client Repositories & Credentials: All production Git repositories, DNS configurations, and cloud deployment credentials are handed over directly to the Client without proprietary licensing barriers or recurring platform retainers.
• Pre-Existing Tools & Open Source: Orazent utilizes open-source frameworks (e.g., React, Next.js, Node.js) and pre-existing generic internal utilities. These components are licensed to the Client under standard permissive open-source licenses (such as MIT or Apache 2.0).

4. Client Obligations & Materials

To ensure project velocity and timely milestones, the Client agrees to:

• Provide timely access to necessary brand assets, logos, copy, API keys, third-party credentials, and feedback during sprint reviews.
• Appoint an authorized project lead empowered to make technical, design, and budgetary approvals.
• Ensure that all materials, imagery, and text provided to Orazent do not infringe upon any third-party copyrights, trademarks, or privacy rights.

5. Quotations, Invoicing & Milestone Payments

We operate on transparent milestone-based quotes and retainer structures:

• Fixed-Scope Engagements: Structured into clear milestone deliverables (e.g., 30% upfront deposit upon SOW signing, 40% upon staging prototype approval, and 30% upon final production deployment and QA sign-off).
• Retainer Models: Billed in advance at the start of each monthly sprint cycle for dedicated design, development, or marketing bandwidth.
• Invoicing Terms: Invoices are payable within 7 business days of issuance via Bank Wire Transfer, UPI, or accepted commercial methods in INR, USD, EUR, or GBP.

6. 30-Day Post-Launch Bug Warranty

We stand behind the quality of our craftsmanship. Orazent provides a complimentary 30-day post-launch warranty for all custom web and software applications delivered under fixed-scope agreements:

• We promptly resolve any reproducible bugs, broken links, or deviations from the approved SOW at zero additional cost.
• The warranty covers the codebase deployed on the approved production environment. Modifications introduced by third-party developers, unauthorized server configuration changes, or new feature requests outside the original scope are excluded from warranty coverage.

7. Non-Disclosure & Mutual Confidentiality

Both parties agree that any proprietary business information, financial metrics, software algorithms, roadmap strategies, and customer data disclosed during the course of collaboration shall remain strictly confidential. Neither party shall disclose Confidential Information to any third party without prior written consent, except to employees or legal advisors bound by similar confidentiality commitments.

8. Limitation of Liability & Disclaimers

While Orazent exercises industry best practices in code quality, security, and performance optimization:

• Deliverables are provided on an "as-is" basis post-acceptance and expiration of the 30-day warranty.
• Neither party shall be liable for indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, or business interruption) arising out of or related to the services.
• To the maximum extent permitted by applicable law, Orazent's total aggregate liability under any claim shall not exceed the total fees actually paid by the Client to Orazent under the specific Statement of Work giving rise to liability.

9. Termination & Cancellation

Either party may terminate an active engagement for material breach of these Terms upon providing 14 days' written notice, during which time the breaching party has the opportunity to cure the breach.

Upon termination, the Client shall pay for all completed milestones and approved hours incurred up to the effective date of termination. Orazent shall deliver all completed code, designs, and documentation up to that paid stage.

10. Governing Law & Dispute Resolution

These Terms and all disputes or claims arising out of or in connection with them shall be governed by and construed in accordance with the laws of India.

In the event of any disagreement, the parties agree to first engage in good-faith amicable negotiations for a period of 30 days. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the competent courts in Jaipur, Rajasthan, India.
